Version 1.0. These Cabinet Sales Terms & Conditions are incorporated into any Luna Cabinets Inc. estimate, order, invoice, or other sales document that references them. Project-specific pricing, products, drawings, and specifications appear in the applicable sales document. If a project-specific written term conflicts with these Terms, the project-specific written term controls.
1. Scope of Sale
Luna Cabinets Inc. (“Luna”) designs, manufactures, and sells custom cabinetry and related products. The applicable estimate, order, invoice, approved drawings, and specifications identify the products and project-specific scope. Unless expressly stated in writing, delivery and installation are not included in the cabinet sales price.
2. Design Services
Design services are charged separately. If the Customer proceeds with the applicable cabinet order, the design fee paid for that project will be credited toward the cabinet order as stated in Luna's sales documents. If the Customer does not proceed with the cabinet order, the design fee is nonrefundable to the extent permitted by law.
3. Measurements and Information Supplied by Others
Field measurements are to be supplied by the Customer, contractor, installer, designer, architect, or other party responsible for the project unless Luna expressly agrees otherwise in writing. Luna may manufacture cabinetry in reliance on those measurements and on appliance specifications, plans, and other information supplied to Luna. Luna is not responsible for fit, remake costs, delays, or other consequences caused by inaccurate or incomplete measurements, specifications, plans, appliance information, or jobsite conditions supplied or controlled by others.
4. Drawings, Selections and Customer Approval
Before production, the Customer is responsible for reviewing and approving applicable drawings, layouts, dimensions, materials, colors, finishes, hardware, appliance information, and other project specifications. Approval authorizes Luna to proceed in reliance on the approved information. The Customer must promptly identify any requested correction before production.
5. Price and Payment
Unless the applicable sales document states otherwise, a 50% initial payment is required to place the cabinet order and authorize procurement and production. The remaining balance must be paid in full before the cabinetry is released for pickup or delivery. Luna may withhold release of products until all amounts then due have been received in cleared funds.
Amounts not paid when due may accrue interest at the maximum rate permitted by applicable law from the date due until paid.
6. Credit-Card Payments
Credit-card payments are subject to a 3% processing charge where permitted by applicable law and applicable card-network or processor rules. The charge does not apply to available payment methods for which such a surcharge is not imposed. Any required disclosures will be provided at or before payment.
7. Custom Orders, Cancellation and Refunds
Cabinetry is custom manufactured or specially ordered for the Customer's project. The 50% initial payment authorizes Luna to commit design, engineering, purchasing, material, scheduling, and manufacturing resources to the order. If the Customer cancels after placing the order, Luna may retain from amounts paid the amounts permitted by applicable law for costs, commitments, work performed, specially ordered or custom goods, and other recoverable damages. Depending on the stage of the order, this may result in some or all of the initial payment being nonrefundable. Nothing in this section permits Luna to retain an amount that applicable law requires to be refunded.
8. Changes After Approval
Luna does not charge a separate change fee merely because the Customer requests a change. However, a change may increase or decrease the price when it affects materials, material quantity or type, components, manufacturing, design or engineering work, or other project costs. Changes may also affect lead time. Luna will communicate applicable pricing or scope changes before proceeding when reasonably practicable.
9. Materials and Appearance
Natural wood, veneer, textured materials, and manufactured finishes can vary in color, grain, texture, sheen, pattern, and appearance. Samples, displays, photographs, and digital images are references and cannot guarantee an exact appearance under every lighting condition or production batch. Normal material variation is not a manufacturing defect.
10. Lead Times
Quoted or discussed completion and lead times are estimates unless Luna expressly guarantees a date in writing. Timing may be affected by approvals, changes, material availability, suppliers, transportation, events outside Luna's reasonable control, and other project circumstances.
11. Pickup, Delivery and Storage
Delivery is not included unless expressly stated in writing. Luna will notify the Customer when the order is ready. The order must be picked up, or any separately arranged delivery must occur, within seven (7) calendar days after that notice. After the seven-day period, Luna may charge a storage fee of $250 per week or any portion of a week until the order is released. Storage does not postpone the Customer's payment obligations.
12. Inspection; Damage and Shortages
The Customer must inspect the cabinetry promptly upon pickup or delivery and notify Luna of visible damage, shortages, or incorrect items within seven (7) calendar days. The Customer should preserve affected items and reasonable documentation so Luna can evaluate the claim. This notice period does not eliminate rights that cannot lawfully be waived.
13. Installation by Independent Providers
Luna Cabinets Inc. does not perform cabinet installation services. At the Customer's request, Luna may introduce, refer, communicate with, or help coordinate trusted independent installation professionals or contractors. Unless expressly agreed otherwise in writing by the applicable parties, installation is separately contracted between the Customer and the installation provider, and the installation provider separately bills and collects payment for its services.
The installation provider is responsible for its licensing, insurance, jobsite work, workmanship, warranties, scheduling, safety, and legal compliance. Luna's referral, scheduling assistance, drawings, technical information, or coordination does not make the installation provider Luna's employee and does not make Luna the contractor performing installation.
14. Five-Year Limited Manufacturing Warranty
Luna warrants cabinetry manufactured by Luna to be free from defects in Luna's manufacturing workmanship for five (5) years from the date of pickup or delivery under normal residential use. If Luna confirms a covered defect, Luna will, at its option, repair or replace the affected component.
This limited warranty does not cover installation or installation workmanship; inaccurate measurements or information supplied by others; building movement or jobsite conditions; modifications or repairs by others; misuse, abuse, impact, neglect, improper maintenance or cleaning; water, moisture, plumbing leaks, excessive heat or steam; normal wear; or normal variations in color, grain, texture, sheen, pattern, or finish. Hardware, accessories, appliances, and other third-party products are subject to the applicable manufacturer's warranty, if any.
Unless required by applicable law or expressly agreed by Luna in writing, the warranty does not include labor or costs to remove, uninstall, transport, reinstall, refinish, or otherwise access a repaired or replacement component.
15. Warranty Claims
Warranty claims should be submitted to Luna with reasonable information identifying the order, affected component, and claimed defect, together with photographs or other documentation reasonably requested by Luna. Luna must be given a reasonable opportunity to inspect or evaluate the claimed defect before repair, alteration, or replacement by others.
16. Dispute Resolution
Before filing a lawsuit arising from this agreement, the parties will attempt in good faith to resolve the dispute and, if not resolved, participate in nonbinding mediation in California. This requirement does not prevent a party from pursuing small-claims relief, collection of undisputed amounts, preserving a limitations period, or seeking temporary or emergency relief when reasonably necessary.
17. Attorneys' Fees and Costs
In an action or proceeding to enforce this agreement, the prevailing party may recover reasonable attorneys' fees and costs to the extent permitted by applicable law.
18. Governing Law
These Terms and the applicable cabinet sale are governed by California law, without regard to conflict-of-law principles, except to the extent federal law controls. Any court proceeding will be brought in a court of competent jurisdiction as permitted by applicable law.
19. Entire Agreement; Electronic Acceptance
The applicable estimate, order, invoice, approved drawings and specifications, these Terms, and any written changes accepted by the parties constitute the agreement concerning the cabinet sale. By signing or electronically accepting a sales document that incorporates these Terms, or by authorizing payment after receiving a sales document that clearly incorporates these Terms, the Customer acknowledges the incorporated terms, subject to applicable law. If Luna publishes a later version, the version identified in the Customer's applicable sales document governs that transaction unless the parties agree otherwise.
